What is Corporate Governance?

Corporate governance is the system by which organisations are directed and controlled. It is a set of relationships between directors, shareholders and other stakeholders.

Corporate governance is a mechanism to ensure commercial enterprises are controlled by managers (agents) in the interests of their shareholders (principals).




Good corporate governance enables investors to feel confident that their investment is well managed and will not be lost as a result of bad decisions, poor management control or greed of the directors.
